Terms of Service

1. Acceptance of Terms
By accessing or using the Kolari.ai Services ("Services"), you agree to be bound by these Terms of Service ("Agreement") and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree to these Terms, you may not access or use the Services.
2. Eligibility
You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Services.
3. Using the Services
a. Right to Use and License
Subject to your compliance with these Terms, Kolari grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your internal business purposes only. If Kolari provides downloadable software, you are licensed to install object code solely for use with the Services.
You acknowledge and agree that you are granted only a license to use the Services. No ownership rights are transferred to you. All rights not expressly granted in these Terms are reserved by Kolari.
b. What We Provide
Kolari offers an integrated platform that enables transcription, voice, messaging, AI processing, and storage, orchestrated via our API or dashboard. The Services may use third-party providers for core modules such as transcription, AI modeling, telephony, or cloud storage.
c. Use of Third-Party Providers
Kolari leverages third-party infrastructure and services ("Providers") to deliver portions of the Services. Your data may be shared with these Providers under their respective terms. You are responsible for any additional Provider subscriptions when using your own API keys. Kolari disclaims liability for Provider performance or compliance.
d. Use Restrictions
You agree not to:
- Use the Services for any illegal, harmful, or infringing purpose.
- Use the Services to violate laws including TCPA, FDCPA, Do Not Call, HIPAA, or consumer protection statutes.
- Modify, distribute, copy, sublicense, reverse engineer, or decompile the Services.
- Train competing models or generate training data using Kolari outputs.
- Circumvent usage limits, security protocols, or interfere with system functionality.
- Impersonate others or misrepresent your affiliation.
Kolari may suspend or terminate your access for violations at its discretion.
e. Service Updates
Kolari may update the Services at any time, including adding, removing, or modifying features. Continued use of the Services constitutes acceptance of any updates.
f. Fees
Services are billed on a monthly subscription and usage basis:
- 12-month term: 15% discount
- 24-month term: 20% discount
- 36-month term: 30% discount
- Usage: API calls, transcription minutes, telephony, SMS, and storage
Kolari reserves the right to modify pricing with notice prior to your next billing cycle. You are responsible for Provider fees billed outside of Kolari.
4. Customer Compliance & Indemnity
You are solely responsible for compliance with laws governing your use of the Services. You agree to indemnify and hold harmless Kolari from any third-party claims, liabilities, or damages arising from your breach, misuse, or failure to comply with regulations including but not limited to TCPA, FDCPA, Do Not Call, HIPAA, or similar statutes.
5. Kolari Indemnity
Kolari will defend you from claims alleging that your authorized use of the Services infringes third-party IP rights. Remedies may include modifying or replacing infringing components, or terminating Services with a prorated refund. This does not apply to misuse or combinations not approved by Kolari.
6. Intellectual Property Rights
All rights, title, and interest in and to the Services, including software, content, documentation, and trademarks, are owned by Kolari or its licensors. You may not use Kolari's trademarks without prior written consent.
7. Ownership & License Grants
All Customer Content remains yours. You grant Kolari a non-exclusive, worldwide license to use your content solely to provide, maintain, and improve the Services.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- KOLARI IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
- KOLARI'S TOTAL LIABILITY SHALL NOT EXCEED $100 OR THE FEES PAID IN THE 12 MONTHS PRIOR TO THE CLAIM.
9. Term, Termination & Suspension
This Agreement remains in effect until terminated. Either party may terminate at the end of a billing term with notice. Kolari may suspend or terminate access for breach, legal requirements, or non-payment. Data may be deleted after termination.
10. Modifications to Terms
Kolari may modify these Terms with 10 days' notice. Continued use of the Services constitutes acceptance.
11. Governing Law & Dispute Resolution (Wyoming)
These Terms are governed by the laws of the State of Wyoming. Any disputes shall be resolved through binding arbitration in Sheridan, Wyoming, under the rules of the AAA. You waive the right to participate in any class action.
12. International Use
You are responsible for complying with local laws if you access the Services internationally. You affirm you are not located in a restricted jurisdiction or on any denied-party list.
13. Consent to Electronic Communications
By creating an account or using the Services, you consent to receive electronic communications from Kolari AI in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state laws. These communications may include:
- Account registration confirmations and security notifications
- Billing statements, payment confirmations, and invoices
- Service updates, maintenance notices, and policy changes
- Product announcements and feature updates
- Customer support and technical assistance communications
Electronic communications will be sent to the email address associated with your account. You agree that electronic communications satisfy any legal requirement that such communications be in writing. You may withdraw consent to receive electronic communications by closing your account, though this may limit your ability to use the Services.
14. SMS, Telephony & Automated Communications
a. SMS Messaging
If you opt in to receive SMS messages from Kolari AI, you consent to receive recurring automated text messages at the phone number you provide. Message frequency varies. b. AI-Powered Voice Calls
Our Services utilize AI-powered voice agents to make and receive telephone calls. By using our Services or providing consent to receive calls, you acknowledge that calls may be initiated or handled by artificial intelligence technology. All AI-generated calls comply with FCC regulations regarding artificial and prerecorded voice messages. Calls may be recorded and transcribed for quality, compliance, and service improvement purposes.
c. TCPA Compliance for Platform Customers
If you use the Kolari AI platform to send automated calls or text messages to your end users, you are solely responsible for:
- Obtaining and documenting prior express written consent from each recipient as required by the TCPA (47 U.S.C. § 227)
- Complying with all applicable federal, state, and local telemarketing and communications laws
- Registering your messaging campaigns through the 10DLC registration process
- Maintaining and honoring Do Not Call lists, including the National Do Not Call Registry
- Restricting communications to permitted hours (8:00 AM to 9:00 PM in the recipient's local time)
- Including proper disclosures and opt-out mechanisms in all automated communications
- Retaining consent records for a minimum of 5 years
Violations of TCPA or other communications laws may result in immediate suspension of your account and termination of Services. You agree to indemnify Kolari AI for any claims, fines, or damages resulting from your non-compliance.
d. 10DLC Registration
Businesses sending application-to-person (A2P) SMS messages through the Kolari AI platform must complete 10DLC (10-Digit Long Code) brand and campaign registration as required by mobile carriers. Kolari AI will assist with the registration process, but approval is subject to carrier review and may take 2-4 weeks. Messages sent without proper 10DLC registration may be filtered or blocked by carriers.
15. Assignment
You may not assign your rights or obligations under this Agreement without Kolari's consent. Kolari may assign its rights without restriction.
16. Force Majeure
Kolari is not liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, internet outages, labor disputes, war, government restrictions, or supply chain disruptions.
17. Miscellaneous
These Terms constitute the entire agreement. If any provision is held invalid, the remainder remains enforceable. No waiver is valid unless in writing. This Agreement survives termination to the extent necessary for enforcement.
